Affiliate Program Terms

These Affiliate Program Terms govern participation in the AfterDark Society affiliate program. The affiliate program allows approved affiliates to promote AfterDarkSociety.com, the AfterDark Society mobile applications, and any related websites, applications, communities, events, memberships, subscriptions, and services that link to or participate in the affiliate program. In these Affiliate Program Terms, we refer to those services collectively as the “Platform.”

The Platform and affiliate program are operated by After Dark Society, LLC (“After Dark Society,” “we,” “us,” or “our”).

By applying to, joining, or participating in the affiliate program, you agree to these Affiliate Program Terms, the Terms of Service, Privacy Policy, Community Guidelines, Subscription, Billing, Cancellation, and Refund Policy, and all other policies that apply to your participation in the affiliate program.

If you are participating in the affiliate program on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Affiliate Program Terms.

1. Affiliate Program

The affiliate program allows approved affiliates to refer new paid subscribers to the Platform in exchange for commissions, subject to these Affiliate Program Terms.

Participation in the affiliate program is not automatic. We may approve, reject, suspend, or terminate any affiliate account, application, campaign, traffic source, promotional method, or affiliate relationship at any time.

2. Adult-Oriented Platform

The Platform is an adult-oriented platform intended only for adults who are at least 18 years old.

You must not promote the Platform to minors or to audiences, websites, publications, events, communities, accounts, channels, or platforms primarily directed to minors.

You must not promote the Platform in a way that suggests minors may access, use, join, view, or participate in the Platform.

3. Eligibility

To participate in the affiliate program, you must:

  • be at least 18 years old;
  • provide accurate account, identity, tax, payment, and contact information;
  • comply with these Affiliate Program Terms;
  • comply with all laws, regulations, platform rules, payment-processor rules, card-network rules, and advertising standards that apply to your promotional activity;
  • use only approved affiliate links, codes, creatives, landing pages, campaigns, or tracking methods;
  • make all required advertising, endorsement, sponsorship, and affiliate disclosures;
  • avoid deceptive, abusive, fraudulent, illegal, or unsafe promotional activity; and
  • remain in good standing with After Dark Society.

We may require identity verification, business verification, sanctions screening, tax documentation, payment documentation, campaign review, or traffic-source review before or after approving participation.

4. Application and Approval

You must apply through the affiliate-program process we provide.

Your application may require information about you, your business, your websites, social-media accounts, promotional channels, audience, traffic sources, marketing methods, payment information, tax status, and compliance controls.

We may approve or reject any application in our sole discretion.

Approval of an application does not guarantee that any campaign, traffic source, advertisement, creative, or promotional method is approved.

5. Affiliate Links and Tracking

If approved, we may provide you with one or more affiliate links, referral links, referral codes, QR codes, tracking IDs, campaign IDs, landing pages, creatives, or other attribution methods.

You must use only affiliate links and tracking methods approved by us.

You must not modify, obscure, manipulate, spoof, replace, or interfere with affiliate links, tracking codes, cookies, pixels, attribution systems, redirects, analytics, or reporting tools.

We may modify, suspend, replace, or disable any affiliate link, tracking method, campaign, landing page, or creative at any time for operational, security, compliance, attribution, fraud-prevention, or brand-protection reasons.

6. Qualified Referrals

A referral qualifies for commission only if all of the following conditions are met:

  • the referred user is at least 18 years old;
  • the referred user lawfully registers for the Platform;
  • the referred user purchases a paid subscription through your approved affiliate link, referral code, or another attribution method approved by us;
  • the referred subscription is tracked and attributed to you in our records;
  • the referred subscription is not refunded, reversed, charged back, cancelled, fraudulent, duplicate, unpaid, or invalid;
  • the referred user was not already registered with the Platform;
  • the referred user was not already in our marketing, sales, referral, or affiliate pipeline;
  • the referred user was not previously referred by another affiliate or marketing source;
  • the referral did not result from cookie stuffing, forced clicks, bots, fake accounts, misleading redirects, spam, manipulation, or prohibited marketing activity; and
  • you are not in breach of these Affiliate Program Terms.

We may reject, reverse, correct, reassign, or disqualify any referral that we determine is invalid, duplicative, fraudulent, manipulated, abusive, noncompliant, or not properly attributable to you.

7. Commission Rate

Unless we agree otherwise in writing or state otherwise in the affiliate dashboard, we will pay approved affiliates a commission equal to 30% of net subscription revenue from qualified referrals.

“Net subscription revenue” means subscription revenue actually received and retained by After Dark Society from qualified referrals, minus refunds, chargebacks, payment reversals, failed payments, taxes, payment-processor fees, card-network fees, app-store fees, platform fees, discounts, credits, promotional amounts, fraud losses, bad debt, and amounts paid or payable to third-party platforms or service providers in connection with processing, collecting, or retaining that revenue.

Commissions are calculated only on net subscription revenue actually received and retained by After Dark Society.

8. Commission Period

Unless we state otherwise in the affiliate dashboard or agree otherwise in writing, commissions are recurring for as long as the referred user maintains a paid subscription that qualifies under these Affiliate Program Terms.

A referred user stops generating commissions if that user cancels, downgrades to a free plan, fails payment, receives a refund, initiates a chargeback, is terminated, is determined to be fraudulent or invalid, or otherwise stops generating qualifying net subscription revenue.

9. Payout Threshold

We are not required to make a commission payment until the amount payable to you equals at least $100.

Amounts below the payout threshold may roll forward until the threshold is met.

We may close, write off, or withhold unpaid amounts if your affiliate account is terminated for fraud, unlawful activity, prohibited marketing, sanctions risk, failure to provide required information, or material breach of these Affiliate Program Terms.

10. Payout Timing

Unless we state otherwise in the affiliate dashboard, we calculate commissions monthly.

Subject to these Affiliate Program Terms, we will pay earned commissions for the prior month on or about the 5th day of the following month.

Payment may be delayed if:

  • the payout threshold has not been met;
  • required tax, identity, sanctions-screening, payment, or compliance information is missing;
  • we are reviewing traffic quality, fraud, chargebacks, refunds, attribution, or compliance issues;
  • a payment processor, bank, app store, card network, regulator, vendor, or law-enforcement agency is reviewing relevant activity;
  • your account is suspended or under investigation;
  • payment information is inaccurate or incomplete; or
  • another issue prevents or delays payment.

11. Payout Methods

Available payout methods may include PayPal, ACH, account credit, or other methods we make available.

We may add, remove, suspend, or change payout methods at any time.

You are responsible for providing accurate payment information.

We are not responsible for failed, delayed, misdirected, or rejected payments caused by inaccurate or incomplete payment information you provide.

You are responsible for any bank fees, PayPal fees, intermediary fees, currency-conversion charges, payment-provider fees, or other charges associated with receiving commissions unless we state otherwise.

12. Taxes

You are responsible for all taxes, duties, assessments, reporting obligations, and similar obligations arising from commissions or other amounts paid to you.

You must provide any tax forms, certifications, taxpayer identification numbers, withholding information, business information, or other information we reasonably request.

We may withhold payments if you fail to provide required tax information or if withholding is required by law.

We may report payments to tax authorities as required by law.

13. Holds, Reversals, and Clawbacks

We may hold commissions for up to 90 days if we determine that a referral, campaign, payment, traffic source, account, subscription, or transaction requires fraud, chargeback, compliance, payment, attribution, or quality review.

We may extend a hold if a payment processor, bank, app store, card network, regulator, vendor, law-enforcement agency, or government body is reviewing the relevant activity.

We may reverse, deduct, set off, or claw back commissions that relate to:

  • refunds;
  • chargebacks;
  • failed payments;
  • cancelled subscriptions;
  • duplicate transactions;
  • fraudulent users;
  • fake accounts;
  • bot activity;
  • manipulated attribution;
  • cookie stuffing;
  • forced clicks;
  • misleading redirects;
  • spam;
  • prohibited traffic;
  • policy violations;
  • legal violations; or
  • any other invalid or nonqualifying activity.

You must repay any commissions that were paid but later determined to be unearned, invalid, reversed, fraudulent, or subject to clawback.

14. Required Advertising Disclosures

You must clearly and conspicuously disclose your relationship with After Dark Society when promoting the Platform.

Your disclosure must be placed where consumers will notice it and must be understandable to the audience before or at the time they interact with the promotional content or affiliate link.

Examples of acceptable disclosures may include:

  • “I earn commissions from AfterDark Society if you sign up through my link.”
  • “Paid affiliate link.”
  • “Ad: I may earn a commission if you join AfterDark Society through this link.”

Short, unclear, hidden, or ambiguous disclosures may not be sufficient.

You must not hide disclosures in a terms page, profile bio, footer, separate page, hashtags that are unlikely to be noticed, or a place that users will see only after clicking the affiliate link.

You are solely responsible for complying with all endorsement, advertising, sponsorship, influencer, affiliate, consumer-protection, and unfair-or-deceptive-practices laws that apply to your promotional activity.

15. Truthful Advertising

You must promote the Platform truthfully and accurately.

You must not:

  • make false, misleading, deceptive, or unsubstantiated claims;
  • misrepresent Platform features, pricing, trials, subscriptions, refunds, cancellation rights, user base, verification, safety, privacy, location features, matching, events, groups, content, creator status, or adult-content availability;
  • guarantee dates, meetings, relationships, sexual activity, responses, matches, followers, earnings, success, visibility, or access;
  • imply that users will receive illegal sexual services, prostitution, escorting, trafficking, or paid sexual activity;
  • imply that minors may access or use the Platform;
  • misrepresent your relationship with After Dark Society;
  • impersonate After Dark Society or any Platform representative;
  • create fake reviews, fake testimonials, fake endorsements, fake accounts, fake profiles, or fabricated success stories;
  • use screenshots, images, videos, user content, testimonials, or personal information without required rights and consents; or
  • make any claim that violates law, app-store rules, payment-processor rules, card-network rules, Platform rules, or these Affiliate Program Terms.

16. Adult-Content Advertising Rules

You must not use sexually explicit advertising, nude images, graphic sexual imagery, or adult-content creatives unless we have approved the specific creative and placement in writing.

You must not advertise the Platform in a manner that:

  • targets minors;
  • appears on media primarily directed to minors;
  • violates the rules of any website, app, social-media platform, ad network, event organizer, venue, publisher, or community;
  • suggests illegal sexual services, prostitution, escorting, trafficking, coercion, nonconsensual sexual activity, or paid sexual activity;
  • uses images or likenesses without consent;
  • uses nonconsensual intimate content;
  • uses content involving minors or minor-presenting persons;
  • uses hate, threats, harassment, or exploitation;
  • violates app-store, payment-processor, card-network, or advertising-platform rules; or
  • creates unacceptable safety, legal, payment, platform, or brand risk.

17. Prohibited Marketing Methods

You must not use:

  • spam;
  • unsolicited commercial email;
  • unlawful text messages;
  • unlawful telemarketing;
  • robocalls;
  • bots;
  • fake accounts;
  • fake engagement;
  • adware;
  • malware;
  • spyware;
  • browser hijacking;
  • cookie stuffing;
  • forced clicks;
  • clickjacking;
  • misleading redirects;
  • unauthorized pop-ups or pop-unders;
  • typosquatting;
  • phishing;
  • unauthorized scraping;
  • unauthorized data collection;
  • deceptive landing pages;
  • fake testimonials;
  • fabricated reviews;
  • manipulated traffic;
  • incentivized fake signups;
  • account farming;
  • payment fraud;
  • chargeback fraud;
  • cloaking;
  • traffic laundering;
  • hidden frames;
  • unauthorized toolbars;
  • misleading domain names;
  • deceptive search ads; or
  • any other abusive, deceptive, unlawful, or manipulative marketing method.

18. Email, SMS, and Messaging Rules

You must not send email, SMS, direct messages, push notifications, or other electronic communications promoting the Platform unless you have all legally required consents and comply with all applicable laws and platform rules.

You must not use purchased lists, scraped lists, harvested contacts, or contacts obtained without valid consent.

You must promptly honor unsubscribe, stop, opt-out, block, and do-not-contact requests.

You are solely responsible for compliance with CAN-SPAM, TCPA, state telemarketing laws, privacy laws, anti-spam laws, and other laws that apply to your communications.

19. Paid Search, Domains, and Social Handles

You must not bid on After Dark Society trademarks, trade names, domain names, misspellings, confusingly similar terms, or branded keywords in paid search advertising without our prior written consent.

You must not register, use, purchase, traffic in, or control any domain name, subdomain, app name, username, handle, social-media account, group name, event name, page name, or account name that includes, imitates, or is confusingly similar to After Dark Society, AfterDarkSociety.com, AfterDark, or any other Platform brand name.

You must not create ads, profiles, accounts, pages, groups, or landing pages that imply they are operated by After Dark Society unless we have approved them in writing.

20. Use of After Dark Society Materials

We may provide approved logos, trademarks, screenshots, copy, images, videos, banners, affiliate links, landing pages, or other promotional materials.

You may use approved materials only to promote the Platform in accordance with these Affiliate Program Terms.

You must not modify approved materials unless we permit modification.

We may revoke permission to use any materials at any time.

You do not acquire ownership rights in any After Dark Society trademark, copyright, content, platform asset, user data, goodwill, or other property.

21. User Data and Privacy

You must not collect, process, sell, share, disclose, store, scrape, or use personal information relating to Platform users unless we have expressly authorized you in writing.

If we authorize you to process personal information, you must comply with all instructions, privacy laws, data-security obligations, confidentiality obligations, deletion requests, and other requirements we provide.

You must promptly notify us of any actual or suspected security incident involving Platform users, affiliate links, referral data, tracking data, campaign data, or personal information.

22. Compliance Review

We may review your websites, social-media accounts, ads, posts, emails, messages, landing pages, creatives, disclosures, traffic sources, campaigns, and promotional methods for compliance.

You must provide information we reasonably request to verify compliance, attribution, traffic quality, age-targeting, disclosures, and payment eligibility.

We may require you to remove, revise, suspend, or stop using any promotional content, campaign, traffic source, or marketing method.

You must comply promptly with any compliance instruction we provide.

23. No Sub-Affiliates Without Approval

You must not appoint, recruit, or use sub-affiliates, networks, media buyers, influencers, promoters, contractors, agencies, or other third parties to promote the Platform unless we approve them in writing.

If we approve a third party, you are responsible for that third party’s acts, omissions, promotional activity, traffic, disclosures, and compliance.

We may require any approved third party to register, agree to separate terms, or pass compliance review.

24. No Agency or Authority

You are an independent contractor and not an employee, agent, partner, joint venturer, franchisee, legal representative, or fiduciary of After Dark Society.

You must not:

  • bind After Dark Society;
  • make commitments for After Dark Society;
  • collect money on our behalf;
  • issue refunds;
  • make legal, safety, privacy, billing, or policy decisions for us;
  • speak to regulators, payment processors, app stores, users, media, or law enforcement on our behalf;
  • imply that you represent After Dark Society; or
  • make statements inconsistent with these Affiliate Program Terms.

25. Confidentiality

You must not disclose or misuse nonpublic information you receive through the affiliate program.

Nonpublic information may include affiliate dashboards, commission rates, conversion data, payment information, user information, campaign information, traffic data, product plans, policies, communications, compliance reviews, security information, and business information.

You may use nonpublic information only to participate in the affiliate program in accordance with these Affiliate Program Terms.

26. Suspension and Termination

We may suspend or terminate your participation in the affiliate program at any time, with or without notice.

We may suspend or terminate your affiliate account immediately if we determine that you have:

  • violated these Affiliate Program Terms;
  • violated law;
  • failed to make required disclosures;
  • engaged in fraudulent, deceptive, abusive, unsafe, or unlawful marketing;
  • promoted the Platform to minors;
  • used prohibited traffic sources;
  • manipulated attribution;
  • used spam, bots, fake accounts, forced clicks, cookie stuffing, or misleading redirects;
  • misused After Dark Society trademarks, materials, or confidential information;
  • failed to provide required tax, identity, payment, or compliance information;
  • created payment, chargeback, legal, app-store, payment-processor, card-network, privacy, safety, or brand risk; or
  • engaged in conduct that we determine is inconsistent with the affiliate program.

27. Effect of Termination

After termination:

  • you must stop promoting the Platform as an affiliate;
  • you must stop using affiliate links, referral codes, tracking IDs, approved materials, and confidential information;
  • we may disable your affiliate links, referral codes, tracking IDs, and dashboard access;
  • you will not earn commissions on activity after termination;
  • unpaid commissions remain subject to review, setoff, hold, reversal, clawback, payout threshold, and these Affiliate Program Terms; and
  • provisions that by their nature should survive termination will survive.

If we terminate your affiliate account for fraud, unlawful activity, prohibited marketing, material breach, sanctions risk, or conduct creating legal, payment, safety, or brand risk, we may cancel unpaid commissions to the fullest extent permitted by law.

28. No Guaranteed Earnings

We do not guarantee that you will earn commissions, receive traffic, generate conversions, obtain paid subscribers, or profit from participation in the affiliate program.

Conversion rates, subscriber retention, payout amounts, and program availability may vary.

29. Changes to the Affiliate Program

We may modify, suspend, or terminate the affiliate program at any time.

We may change commission rates, payout methods, payout thresholds, tracking methods, eligibility rules, program features, approved promotional methods, or these Affiliate Program Terms.

If we make material changes, we may provide notice by posting updated terms, updating the affiliate dashboard, sending an email, or using another reasonable method.

Your continued participation in the affiliate program after changes become effective means you accept the changes.

30. Indemnification

You will indemnify After Dark Society, its affiliates, and their respective owners, managers, officers, employees, contractors, representatives, vendors, service providers, successors, and assigns against losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your participation in the affiliate program;
  • your promotional activity;
  • your breach of these Affiliate Program Terms;
  • your violation of law;
  • your advertising, endorsements, testimonials, reviews, disclosures, landing pages, websites, social-media content, messages, emails, or campaigns;
  • your traffic sources;
  • your fraud, negligence, willful misconduct, or unlawful conduct;
  • your violation of third-party rights;
  • your collection, use, disclosure, sale, sharing, storage, or processing of personal information; or
  • acts or omissions of any person or entity acting for you or through you.

31. Limitation of Liability

To the extent permitted by law, After Dark Society will not be liable to you for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising out of or relating to the affiliate program.

To the extent permitted by law, After Dark Society’s total liability arising out of or relating to the affiliate program will not exceed the commissions actually paid to you during the three months before the event giving rise to the claim.

32. Governing Law and Dispute Resolution

Florida law governs these Affiliate Program Terms and all disputes arising out of or relating to the affiliate program, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Affiliate Program Terms or the affiliate program must be resolved under the dispute-resolution provisions in the Terms of Service unless we have entered into a separate signed agreement with you that provides otherwise.
